We refer to the letter dated 21st May, 2024 intimating about the approval granted by the Board of the Company vide board resolution dated 21st May, 2024 for proposed Scheme of Amalgamation under section 232 read with Section 230and other applicable provisions of the Companies Act, 2013 and the rules and regulations made thereunder for amalgamation of YFCPL with and into Laxmi Organic Industries Limited, subject to approval NCLT, Mumbai Bench. Pursuant to Regulation 30 of SEBI (LODR) Regulations, 2015, we inform you that the Hon''ble National Company Law Tribunal ("NCLT"), Mumbai Bench vide its order dated 27th February, 2025 has approved the Scheme. The certified true copy of the order was received by the Company on 19th March, 2025, and the same shall be filed with Registrar of Companies, Mumbai by the Company and the Transferor Company, as per the applicable laws. Accordingly, the scheme shall become effective upon filing of the same with the Registrar of Companies, Mumbai.
