This is with reference to our letter dated March 22, 2024 with regards to the Scheme of Arrangement and Merger by absorption of Manaj Tollway Private Limited and Man Project Limited, Wholly Owned Subsidiaries of the Company, with the Company pursuant to Section 230-232 and other applicable provisions of the Companies Act, 2013. In this regard the Hon''ble National Company Law Tribunal, Bench Mumbai, today pronounced in an Open Court an Order allowing the Company Petition No. CP (CAA) NO 141 of 2024 (Jointly filed by the Transferor Companies and the Company) and has also sanctioned the aforesaid scheme. The Certified Copy of the Order is awaited and we shall update when we receive the same.
