In terms of Regulation 30 of SEBI (LODR) Regulations, 2015, we would like to inform that the Ministry of Defence, Government of India vide its letter dated 10 Dec 2024, received on 11 Dec 2024, has nominated Ms. Garima Bhagat as the Part-Time Official Director (Government Nominee Director) on the Board of Directors of the Company, replacing Mr. Rajeev Prakash (DIN:08590061), who is a Part-Time Official Director (Government Nominee Director) on the Board of the Company. Accordingly, Mr. Rajeev Prakash has relinquished the post of Part-Time Official Director (Government Nominee Director) w.e.f. 11 Dec 2024. Ms. Garima Bhagat will assume directorship of the Company once she acquires her Director Identification Number (DIN), as per the provisions of the Companies Act, 2013.

Please refer our letter No. SECY/GRSE/BD-69/29/2024 dated 18 Sep 2024, wherein we have communicated that "GRSE bagged Order for Construction and delivery of Additional Four (04) Multi - Purpose Vessels of 7500 DWT each". In terms of Reg 30 of the SEBI, LODR, 2015, we wish to inform you that the Company has signed Contract for Construction and delivery of Second Ship from series of the four additional vessel 7500 DWT MPV on 04 Dec 2024 at Hamburg, Germany. The contracts for the remaining two vessels will be communicated as and when the respective contracts signed. There has been no change in the Financial Implication of the Order/ Contract.

In terms of Reg 30 of SEBI, LODR, 2015 we hereby inform you that the Company has received notices from NSE and BSE regarding non-compliance with provisions of Reg 17 (1) of the SEBI, LODR 2015, pertaining to non availability of required Independent Directors including Woman Independent Director on the Board of the Company during the Quarter ended 30 Sep 2024 and imposition of Fine of Rs. 5,42,800 each by NSE and BSE for such non-compliance. In respect of the aforesaid notice Company has replied that the GRSE is a CPSE. The Directors on the board of the Company are appointed by the Government of India through Presidential Order. The action of appointment of Directors is not in the hands of the Company and also beyond the control of the Company. Accordingly, GRSE should not be held liable to pay the fines and the same should be waived off.
