In terms of Reg 30 of SEBI, LODR, Reg 2015, we hereby inform you that the Company has received notices from NSE and BSE dated 17 Mar 2025 regarding non compliance with the provisions of Reg 17 (1) and 18 (1) of SEBI, LODR 2015, pertaining to non availability of required Independent Directors including Independent Woman Director on the Board of the Company and non constitution of the Audit Committee during the quarter ended 31 Dec 2024 and imposed fine of Rs. 5,52,240 each by NSE and BSE. In response to the aforesaid notices the Company has replied that the action for appointment of Directors on to the Board of the CPSEs is not in the hands of the Company and also beyond the control of the Company. Accordingly as per the clause 3 (a) of the Policy for exemption of fines levied under SEBI SOP Circular, the fines levied is to be waived off. At present, their is no immediate monetary impact on the financials of the Company. Detailed disclosure is enclosed for your information.
