Realty company Kolte-Patil Developers announced Q4FY26 & FY26 results Consolidated Financial Highlights: Revenue from operations: The consolidated revenue from operations for Q4FY26 stood at Rs 24,861 lakh, representing a decline of 6.30% QoQ compared to Rs 26,533 lakh in Q3FY26, and a drop of 65.41% YoY against Rs 71,867 lakh in Q4FY25. For the full year FY26, revenue stood at Rs 73,496 lakh, down by 57.21% YoY from Rs 1,71,738 lakh in FY25. Total Income: Total income for Q4FY26 was Rs 26,216 lakh, down by 6.96% QoQ (vs Rs 28,178 lakh in Q3FY26) and 63.75% YoY (vs Rs 72,320 lakh in Q4FY25). For FY26, total income was Rs 80,250 lakh, marking a 54.50% YoY decrease from Rs 1,76,373 lakh in FY25. Profit Before Tax (PBT): The company reported a consolidated loss before tax of Rs 193 lakh in Q4FY26, turning negative from a profit of Rs 1,020 lakh in Q3FY26 and a profit of Rs 10,126 lakh in Q4FY25. For FY26, the company reported a PBT loss of Rs 2,796 lakh, compared to a profit of Rs 17,117 lakh in FY25. Profit After Tax (PAT): The net loss for Q4FY26 stood at Rs 1,429 lakh, turning negative from a net profit of Rs 423 lakh in Q3FY26 and a net profit of Rs 6,629 lakh in Q4FY25. For the full year FY26, the company posted a net loss of Rs 3,808 lakh against a net profit of Rs 10,933 lakh in FY25. Total Comprehensive Income: The company posted a total comprehensive loss of Rs 1,451 lakh in Q4FY26 (vs a profit of Rs 423 lakh in Q3FY26 and a profit of Rs 6,599 lakh in Q4FY25). For FY26, it stood at a loss of Rs 3,830 lakh, compared to an income of Rs 10,903 lakh in FY25. Standalone Financial Highlights: Revenue from operations: Standalone revenue for Q4FY26 was Rs 23,634 lakh, indicating a QoQ decrease of 5.15% (vs Rs 24,917 lakh in Q3FY26) and a YoY drop of 64.07% (vs Rs 65,782 lakh in Q4FY25). For FY26, revenue was Rs 65,834 lakh, down by 57.22% YoY from Rs 1,53,909 lakh in FY25. Total Income: Standalone total income in Q4FY26 came in at Rs 25,949 lakh, falling 7.45% QoQ (vs Rs 28,038 lakh in Q3FY26) and 60.99% YoY (vs Rs 66,514 lakh in Q4FY25). For FY26, total income was Rs 76,186 lakh, down by 51.96% YoY from Rs 1,58,597 lakh in FY25. Profit Before Tax (PBT): The standalone PBT was Rs 794 lakh in Q4FY26, dropping 73.30% QoQ (vs Rs 2,974 lakh in Q3FY26) and 92.25% YoY (vs Rs 10,251 lakh in Q4FY25). For FY26, PBT was Rs 862 lakh, down by 94.96% YoY from Rs 17,112 lakh in FY25. Profit After Tax (PAT): Standalone net loss for Q4FY26 was Rs 90 lakh, turning negative from a profit of Rs 2,034 lakh in Q3FY26 and a profit of Rs 7,063 lakh in Q4FY25. For FY26, the company posted a net loss of Rs 197 lakh, compared to a profit of Rs 11,465 lakh in FY25. Total Comprehensive Income: Standalone total comprehensive loss for Q4FY26 was Rs 132 lakh. For FY26, it stood at a loss of Rs 239 lakh. Business Highlights & Segment-wise Performance: Segment Performance: The company is predominantly engaged in the business of Real Estate. Thus, there are no separate reportable operating segments in accordance with Indian Accounting Standard (Ind AS) 108. Strategic Stake Acquisition by BREP Asia: BREP Asia III India Holding Co VII Pte. Ltd. ("Acquirer") now holds a 40% equity stake in the Company. This includes the acquisition of 2,27,96,353 equity shares (25.70% stake) from Promoters on August 11, 2025, and a preferential allotment of 1,26,75,685 equity shares on June 23, 2025, at a premium of Rs 319 per share (Rs 329 per share total), aggregating to Rs 41,703 lakh. NCD Issuance: The company allotted 13,996 Series 4 zero-coupon, non-convertible debentures (NCDs) aggregating to Rs 13,996 lakh on October 16, 2025, and 10,994 Series 4 NCDs aggregating to Rs 10,994 lakh on December 05, 2025, on a private placement basis to Marubeni Corporation, Japan. Corporate Restructuring: The scheme of amalgamation of Kolte-Patil Integrated Townships Limited (a wholly-owned subsidiary) with the Company was approved by the NCLT and became effective on October 31, 2025. On May 22, 2026, the Board approved a draft scheme of amalgamation involving wholly-owned subsidiaries Kolte-Patil Lifespaces Private Limited and Kolte-Patil Smart Spaces Private Limited with the Company. Divestments: During FY26, the Company and its subsidiaries sold their stakes in Kolte-Patil Realtors Private Limited, Regenesis Project Management LLP, Amco Landmark Realty, and Ayaan Vihan Land Development, resulting in a recognised gain of Rs 71 lakh.
