With reference to our letter dated May 16, 2025 and pursuant to Regu. 30 read with Schedule III Part A of SEBI (LODR) Regulations, we wish to inform that Mukand Ltd. ("the Company") and Mukand Heavy Engineering Ltd. ("MHEL or Transferee Company"), a wholly owned subsidiary of the Company has executed a Business Transfer Agreement ("BTA") on October 18, 2025, for transfer of part of Industrial Machinery Business ("Transferred Business") from the Company to MHEL via Slump Sale on a going concern basis on such terms and conditions as mentioned in the BTA.
