The Board of Directors inter alia, has approved the following: 1. Sub-division/ Split of equity shares of the Company, such that 1 (One) Equity Share of Rs. 10/- (Rupees Ten Only) each fully paid up, be Sub-divided / Split into 10 (Ten) Equity Shares having face value of Re. 01/- (Rupee One Only) each fully paid up, subject to necessary approvals. 2. The Capital Clause i.e. Clause V of the Memorandum of Association of the Company, be substituted in the following manner, subject to the approval of the shareholders in order to accommodate the Sub-division / Split of the Equity Shares. 3. Mr. Ashish Goyal, Proprietor of M/s A. Goyal & Associates and a Company Secretary in Whole-time Practice, has been appointed to act as a Scrutinizer for the remote E-voting process; 4. The Draft Notice of Postal Ballot to seek necessary approval of the members of the Company for the aforesaid Sub-divided / Split and other items.
