In terms of Reg 30, we hereby inform you that the Company has received Notices dated 29 May 2025 from NSE and BSE regarding non- compliance with Reg 17(1), 18(1) and 19(1)/19(2) of the SEBI LODR, 2015. In view of said non-compliances, a fine of Rs. 9,55,800 has been imposed by each of the Stock Exchanges i,e. NSE and BSE. In response, the Company has submitted a letter dated 30 May 2025 that the appointment of Independent Directors including Women Independent Director on the Board is not in the hands of the Company and also beyond the Control of the Company. Therefore, it has been requested that GRSE should not be held liable for the fines imposed and that the fines may be waived off. The detailed disclosure is enclosed.
