We wish to inform that the Board of Directors of the Company at its meeting held today have approved the acquisition of 10,00,000 (ten lakh) equity shares of face value of Rs. 10/- each at a premium of Rs. 5/- per share, of Suryam India Minecorp Private Limited ("SIMPL") from Mr. Surendra Singh and Mr. Govind Puri, the current shareholders of the said Company. Post-acquisition, Royal India Corporation Limited will hold 100% of the equity share capital of Suryam India Minecorp Private Limited ("SIMPL"), thereby making it a wholly owned subsidiary (WOS) of the Company.
