With respect to the above captioned subject, we hereby inform you that the Board of Directors of the company at its meeting held on Friday, 16th January 2026, have inter alia considered & approved the following business. 1. Subject to approval of members of the Company vide Special Resolution through Postal Ballot, the Board considered & approved the re-appointment of Mr. Nasir Shaikh (DIN : 08985677), who was as an Independent Director of the Company for a term of Five years, and pursuant to provisions of Section 161(1) of the Companies Act, 2013 and the Article of Association of the Company and in respect of whom the company has received a notice in writing under section 160 of the Companies Act, 2013 from a member proposing her candidature for the office of the Director, being eligible, as an Independent Director of the Company, not liable to retire by rotation and to hold office for the second term of 5 (five) consecutive years from 16th January, 2026 to 15th January, 2031.
