To grant leave of Absence, if any, ascertain Quorum & take roll call, if required. 2. To take note the minutes of the previous meeting of Board of Directors . 3. To consider & approve allotment by way of preferential issue of 12,60,000 Equity Shares of face value of Rs. 10/- each of the Company for cash at a price of Rs. 22/- [including a premium of Rs. 12/- per equity share of Rs. 10/- each of the Company to identified allottees belonging to non-promoter category as approved by shareholders. 4.
