This is to inform you that at the Meeting of the Board of Directors of the Company held on 20th August, 2019, the Board has taken on record the Copy of the Order dated 27th June, 2019 passed by the Hon'ble National Company Law Tribunal, Mumbai Bench ('Hon''ble NCLT') sanctioning the Scheme and has fixed Saturday, 31st August, 2019 as the Effective Date on which date the Certified Copy of the Order dated 27th June, 2019 of the Hon''ble NCLT will be filed with the Registrar of Companies, Mumbai. On the Effective Date, the Company shall stand dissolved without being wound up as envisaged in Scheme. Further, the Board of Directors of the Company has also fixed Saturday, 31st August, 2019 as the Record Date for the purpose of determining the shareholders of the Company (other than SCIL) who shall be entitled to receive equity shares of SCIL, as consideration, pursuant to the Scheme. The Meeting of the Board of Directors of the Company commenced at 11.00 a.m. and concluded at 12.50 p.m.
