With reference to the subject mentioned above, we hereby submit to the Exchange that Annual Secretarial Compliance Report pursuant to Regulation 24A of SEBI (Listing Obligation and Disclosure Requirement) (Amendment) Regulations, 2018 read with SEBI Circular dated 08.02.2019 and BSE Circular dated 09.05.2019 and 14.05.2019 is not applicable to the Company as it does not attract provisions of Reg 15(2) of SEBI (LODR) Regulations, 2015 on Corporate Governance since paid-up Equity Capital of the Company is Rs. 3,68,12,620/- which is not exceeding Rs. 10 Crores and the Net worth of the Company is Rs -1,25,29,95,000 which is not exceeding Rs. 25 Crores as on the last day of the previous financial year i.e 31.03.2019 or during the Financial year (2018-19). In view of the above, we would like to submit that the Company is not required to submit Annual Secretarial Compliance Report for the year ended 31.03.2019 to the stock Exchange/s pursuant to the Regulation 24A of SEBI (Listing of Obligation and Disclosure Requirement) (Amendment) Regulations, 2018.

We had vide our letter dated March 30, 2019 intimate BSE that Mr. Jagdamba Prasad Lath has resigned from the post of Director of the company. Further he has also ceased to be the member of the Audit Committee and Nomination and Remuneration Committee. Thereafter, BSE vide their Letter no. LIST/COMP/Reg.27(2) & Reg. 17 to 21/Mar-19/532078/37/2019-20 dated May 02, 2019 advised us to pay fines due as per SEBI circular no. SEBI/HO/CFD/CMD/CIR/P/2018/77 dated May 03, 2018. As required, the aforesaid matter alongwith letter received from Bombay Stock Exchange were placed before the Board of Directors in their meeting held today and the Members of the Board after due enquiry and deliberation noted that the resignation of director was beyond the control of management of the company. The Board was also informed that Mr. Keshav Sharma were appointed as Additional Director in the category of Non-Executive and Non Independent on May 30, 2019. Hence, the composition of all Committees is now in compliance with the SEBI (LODR) Regulations, 2015 and other applicable provisions. Further we would like to inform that in response to the letter of the Bombay stock Exchange as mentioned above, we had submitted the non-applicability Certificate pursuant to the provisions under Regulation 18(1) and Regulation 19(1)/(2) of the SEBI (Listing Obligations and disclosure Requirement) Regulations, 2015 read with regulation 15(2) of chapter IV of SEBI (Listing Obligations and disclosure Requirement) Regulations, 2015 and we had also received the mail from BSE dated May 15, 2019 that the fine is not required to be paid...
