In compliance with Regulation 30 of the SEBI (LODR) Regulations, 2015, Section 139 of the Companies Act, 2013 and the rules made thereunder which mandates rotation of statutory auditors, we wish to inform you that on the recommendation of the Audit Committee, the Board of Directors of the Company at its Meeting held today i.e. August 12, 2022, have inter-alia, approved and recommended to the members the Appointment of M/s. D S R V AND CO. LLP, Chartered Accountants (Firm Registration Number: FRN - 006993N/N500073) as the Statutory Auditors of the Company for a period of five years commencing from the conclusion of 38th Annual General Meeting (AGM) till the conclusion of the 43rd AGM of the Company, subject to the approval of the members at the ensuing 38th AGM of the Company. Pursuant to SEBI Circular CIR/CFD/CMD/4/2015 dated September 9, 2015 a brief profile of M/s. D S R V and Co. LLP is enclosed herewith as Annexure A. You are requested to take the same on your records.

Pursuant to Regulation 15(2) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Compliance with the provisions as specified in regulations 17 to 27 and clauses (b) to (i) of sub-regulation (2) of regulation 46 and Para C, D and E of Schedule V of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 shall not apply, in respect of the listed entity having Paid-up Equity Share Capital not exceeding Rupees Ten Crore and Net Worth not exceeding Rupees Twenty Five Crore, as on the last day of the previous financial year. This is to inform you that, the paid up Equity Share Capital and Net worth of the Company as on 31st March 2022 was Rs. 6,46,10,500/- and Rs. 16,64,77,313/- respectively.
