We hereby enclose a copy of postal ballot notice dated February 11, 2023 along with explanatory statement and remote e-voting instructions. The Company has completed the dispatch of notice on Wednesday, April 05, 2023, only through emails. The Notice seeks approval of the shareholders / members of United Drilling Tools Limited ('UDTL') through Postal Ballot, only by way of voting through electronic means ('remote e-voting') in relation to the special resolution as set out in the Postal Ballot Notice. The Company has engaged the services of CDSL to enable the Members to cast their votes electronically. The e-voting shall commence from today i.e; Thursday, 6th April, 2023 at 10:00 a.m. (IST) and shall end on Friday, 5th May, 2023 at 5:00 p.m. (IST). The results of the Postal Ballot will be announced by the Chairman on Saturday, 06th May, 2023. The notice is also available on the website of the Company www.udtltd.com.

This is to inform that pursuant to the Company''s Code of Conduct for Prevention of Insider Trading adopted by the Company and pursuant to clause 4 of Schedule B read with regulation 9 of SEBI (Prohibition of Insider Trading) (amendment) Regulations, 2018 the trading window for dealing in the securities of the Company by its designated persons shall remain closed from 1st April, 2023 and will open after 48 hours from the announcement of financial results for the 4th Quarter and financial year ended March 31, 2023. Accordingly, the Designated Persons have been intimated not to trade in the securities of the Company during the above said period of closure of trading window. Further, the date of the Board Meeting in which result would be considered shall be intimated in due course.
