This has reference to our earlier disclosures dated 11.03.2023 and 14.03.2023 in connection with passing of resolution by the Board of Directors of the Company approving sale of an asset of the Company under section 180(1)(a) of the Companies Act, 2013, and approval of the draft notice of the Postal Ballot to be conducted under the provisions of section 108 and 110 of the said Act, read with rules 20 and 22 of the Companies (Management and Administration) Rules, 2014, to obtain the approval of the members of the Company by way of a special resolution for the same. Please note that the shareholders have sanctioned the aforesaid sale of asset by way of the Postal Ballot, result whereof has been disclosed separately under Regulation 44 of the SEBI LODR Regulations. This disclosure is being made in terms of Regulation 30 of SEBI LODR Regulations, that the postal ballot has been conducted and the proposed special resolution has been passed with the requisite majority.
