The Board of Directors of the Company at their meeting held on Thursday, the llth day of February 2021 have accorded the consent to the following resolutions, subject to the approval of the Members at the Extra-Ordinary General Meeting of the Company and the -regulatory authorities as may be required :- 1. To consolidate 10 (Ten) Equity Shares of the Company having Face value of Rs.lO/- (Rupees Ten only) into 1 (One) Equity Share of Face value of Rs. loo/- (Rupees Hundred only) each fully paid-up with effect from the Record Date to be detern-lined by the Board for this purpose2. 2. Consequential amendments to the Capital Clause V of the Memorandum of Association and Article 3 of the Articles of Association of the Company thereby deletion of ,the existing Authorized Equity Share Capital of the Company of Rs.11,50,00,000 divided into 1,15,00,000 Equity Shares of Rs.lO/- each and substituting it by Rs.11,50,00,000/- divided into 11,50,000 Equity Shares of Rs. loo/- each.
