In continuation to our previous communications dated April 1, 2023, May 10, 2023 and August 18, 2023, regarding the Interim Order cum show cause notice dated March 31, 2023, as well as our intimation dated October 15, 2024, regarding Final Order no. WTM/AN/CFID/CFID-SEC4/30860/2024-25 ("Final Order") dated October 11, 2024 issued by the SEBI, we would like to inform you that the Final Order has been challenged by the Company, and Mr. Chander K Baljee, Mr. Keshav Baljee and Mr. Amit Jaiswal in an Appeal before the Hon''ble Securities Appellate Tribunal. The SAT has by way of its order dated November 05, 2024 admitted the Appeal, and granted stay on the consequent directions set forth in paragraphs 74.2 to 74.4 of the Final Order. Further, the direction contained in para 74.4 of the Final Order, imposing penalty has also been stayed subject to deposit of 50 % of the penalty amounts. Kindly also note that in compliance with SAT''s directions, the said amounts have also been deposited.

The Company is in the process of seeking legal advice in relation to the final order and shall keep the exchange updated on any progress on the aforesaid matter.
