This is in continuation to our letter dated 12th November, 2020 regarding outcome of Board Meeting for migration of listing of shares from SME Platform to Main Board. Remote E-voting/Postal Ballot (through electronic mode) period will commence on Friday, 4th December, 2020 at 9.00 a.m. (IST) and shall end on Sunday, 3rd January, 2021 at 5.00 p.m. (IST). During this period members of the Company, holding shares either in physical form or in dematerialized form, as on the cut-off date (i.e. 27th day of November, 2020), shall be entitled to avail the facility of remote E-voting/Postal ballot. Last Date for receipt of Postal Ballot Form (through electronic mode) by the Scrutinizer is 3rd January, 2021 at 5.00 p.m. (IST). It may pleased be noted that as per Regulation 15 (2) of The SEBI (LODR) Regulations, 2015, the compliance with the corporate governance provisions as specified in Regulations 17, 18, 19, 20, 21, 22, 23, 24, 25, 26, 27 and clauses (b) to (i) of Sub-Regulation (2) of Regulation 46 and Para C, D and E of Schedule V, shall not apply, in respect of: (a) The listed entity having paid up equity share capital not exceeding rupees ten crore and net worth not exceeding rupees twenty five crore, as on the last day of the previous financial year: (b) The listed entity which has listed its specified securities on the SME Exchange; It may further be noted that, as the securities of our Company are listed on SME Exchange, Regulation 23 (9) is not applicable to the Company. Hence, our Company is not required to submit Related Party Transaction disclosure as required by Regulation 23 (9) of The SEBI (LODR) Regulations, 2015.

The meeting of Board of Directors of the Company commenced at 2:00 p.m. and concluded at 3:00 p.m. We are enclosing herewith copy of the said Unaudited Financial Results along with Limited Review Report pursuant to SEBI Circular CIR/CFD/CMD/56/2016 dated 27th May, 2016.
