With reference to our letters dated 24th November, 2021 & 15th October, 2021 informing the date of Meeting of the Board of Directors of the Company and pursuant to Regulation 33 and Regulation 30 read with Para- A of Part -A of Schedule III of the SEBI (LODR) Regulations, 2015; please note that the Board of Directors in their meeting held today, have approved the Unaudited Financial Results for the quarter ended on 30th September, 2021. The meeting of Board of Directors of the Company commenced at 4.00 p.m. and concluded at 5.00 p.m. We are enclosing herewith copy of the said Unaudited Financial Results along with the Limited Review Report pursuant to SEBI Circular CIR/CFD/CMD/56/2016 dated 27th May, 2016. In terms of Regulation 32(1) of the SEBI (LODR) Regulations, 2015 read with the Guidance Note as per SEBI circular dated 3rd May, 2018, we hereby undertake that there is no deviation/variation in utilization of issue proceeds. Shubham Polyspin Ltdhas informed BSE that the meeting of the Board of Directors of the Company is scheduled on 11/12/2021 ,inter alia, to consider and approve This is in continuation of our earlier letter dated 15th October, 2021 intimating about availing extension of one month in order to facilitate smooth transition during the first year of IND-AS implementation as per the SEBI vide its circular no. CIR/CFD/FAC/62/2016 (Para 2.7 read with Para 2.6) dated 5th July, 2016. We are pleased to intimate that in view of captioned extension granted by above mentioned SEBI Circular, it is proposed to convene and hold the next meeting of the Board of Directors of the Company on 11th December, 2021 for taking on record Unaudited financial results for the quarter ended on 30th September, 2021. In continuation to our letter dated 30th September, 2021, we hereby confirm that trading window shall remain closed from 1st October, 2021 to 13th December, 2021 i.e. till 48 hours from the declaration of financial result for the quarter ended on 30th September, 2021 (Both days inclusive).

Shubham Polyspin Ltd - 542019 - Results-Delay in Financial Results

With reference to the above, we have to inform you that pursuant to Regulation 33(3) of the SEBI (LODR) Regulations, 2015; the listed entity shall submit quarterly financial results to the stock exchange within 45 days of end of each quarter. However, in order to facilitate smooth transition during the first year of IND-AS implementation, the SEBI vide its circular no. CIR/CFD/FAC/62/2016 (Para 2.7 read with Para 2.6) dated 5th July, 2016 has granted extension of one month for submitting the Financial Results to the listed entities to which IND-AS Rules become applicable. In view of captioned extension granted by above mentioned SEBI Circular, it is proposed to convene and hold the next meeting of the Board of Directors of the Company on or before 14th December, 2021 for taking on record Unaudited Financial Results for the quarter ended on 30th September, 2021; by availing said exemption by the Company. The actual date of Board meeting will be intimated in due course.
