We may kindly inform you that as at March 31, 2025, as per the latest audited financial statements of the Company (2024-2025), the company''s paid up capital is Rs. 9.06 Crores and Net worth is Rs. 4.10 Crores in Negative, which are below the threshold limit as prescribed under Regulation 15(2) of SEBI LODR Regulations w.r.t. applicability of the regulations 17, 17A, 18, 19, 20, 21, 22, 23, 24, 24A, 25, 26, 27 to 27 and clauses (b) to (i) and (t) of sub-regulation (2) of regulation 46 and para C, D and E of Sch. V of the SEBI LODR Reg. In view of the aforesaid, the company claims the aforesaid exemptions and no documents / disclosures are therefore submitted: 1) The Annual Secretarial Compliance report as per Regulation 24A; 2) The Disclosure of Related Party Transactions on Consolidated bases as per regulation 23(9) 3) Filing of Corporate Governance Report under Regulation 27. In continuation of our earlier intimations dated June 17, 2024, August 07, 2024 and September 05, 2024, wherein we had intimated the exchange and public at large, regarding the status of application filed by the Wholly-owned subsidiary ie. SRM Energy Tamilnadu Private Limited under section 10 of the Insolvency and Bankruptcy Code, 2016 before the Hon''ble NCLT, New Delhi. The said application was dismissed by the Hon''ble NCLT vide its order dated August 06, 2024 and later on an appeal was filed by the WOS before the NCLAT, New Delhi bench, challenging the aforesaid order of Hon''ble NCLT. In reference to the aforesaid, the Hon''ble NCLAT vide its order dated April 28, 2025 has set aside the impugned order of the NCLT and has remanded back the matter to the NCLT to hear it afresh. A copy of the Order dated April 28, 2025 is annexed herewith for your reference.
