We refer to the Order dated 30th September, 2020 passed by the Hon'ble National Company Law Tribunal, Kolkata Bench ('NCLT'), sanctioning the Scheme of Amalgamation ('Scheme') of Cimmco Limited ('Cimmco') and Titagarh Capital Private Limited ('TCPL') with Titagarh Wagons Limited ('the Company'). As per the sanctioned Scheme, the shareholders of Cimmco shall be entitled to 13 equity shares of Rs. 2/- each fully paid up of the Company for every 24 equity shares of Rs. 10/- each fully paid held by them in Cimmco whose names appear in the Register of Members on the Record date, or to their respective heirs, executors, administrators, or other legal representatives or successor-in-title as the case may be. Pursuant to Regulation 42 of LODR, we now write to inform you that the Board of the Company has fixed Friday, the 23rd day of October, 2020 as the Record Date for the purpose of allotment of shares of the Company to the shareholders of Cimmco as mentioned above.
