Omaxe Ltd. - Quarterly/Annual Result Disclosures and Notes dated 30 Jun 2026

The above results were reviewed and recommended by the Audit Committee and approved by the Board of Directors at their respective meetings held on August 12 2026. The financial results for the quarter ended June 30 2026 have been limited reviewed by the Statutory Auditors of the Company and expressed unmodified review report on the standalone and consolidated financial results.
The standalone and consolidated financial results have been prepared in accordance with the principles and procedures of Indian Accounting Standards Ind AS as notified under the Companies Indian Accounting Standards Rules 2015 as specified in Section 133 of the Companies Act 2013.
The consolidated financial results of the company include unaudited financial results of 144 group companies and two associate company which have been reported by their respective management. The unaudited financial results of one subsidiary company having Nil Income or Profit or Loss have not been consolidated being non material in nature. One of the subsidiary company having Nil Income or Profit or Loss have since been strike off on May 05 2026 accordingly not consolidated.
In line with the provisions of Ind AS 108 Operating Segments and on the basis of review of operations being done by the management of the company the operations of the group falls under real estate business which is considered to be the only reportable segment by the management.
The Company had received an order dated July 30 2024 from the Securities and Exchange Board of India SEBI under Sections 11 and 11B of the SEBI Act 1992. The Company along with certain other noticees has challenged the said order before the Honble Securities Appellate Tribunal SAT Mumbai. The Honble SAT had granted interim relief vide its order dated October 1 2024. The appeal was heard on July 7 2026 and the order has been reserved. Based on the interim relief granted by the Honble SAT and legal advice received the management believes that the aforesaid matter does not have any material impact on the financial results or financial position of the Company.
The figures for the last quarter of the previous year are the balancing figures between audited figures in respect of the full financial year and the published year to date figures for the nine months ended for the respective year.
