Pursuant to Composite Scheme of Arrangement between the Company, Somany Home Innovation Limited ('SHIL'), Brilloca Limited ('Brilloca') and their respective Shareholders and Creditors ('Scheme') as approved by the Hon'ble National Company Law Tribunal, Kolkata Bench ('NCLT') vide its order dated 26 June 2019, the Board of the Directors of SHIL in their meeting held on 23rd August 2019 allotted 72,296,395 fully paid up equity shares of face value Rs. 2/- each to such shareholders of the Company whose name appears in the register of members as on Record Date, i.e., 20.08.2019 in the ratio of 1:1. These shares will be credited in the demat account of the allottees in due course. Necessary applications are being made by SHIL to the stock exchanges for seeking relevant approval for listing/trading of the aforesaid allotted shares and therefore these shares will not be available for trading till relevant directions for listing/trading are received.
