Considering the safety of all members and to maintain social distancing norms, the Board of Directors have decided to hold the Annual General Meeting (AGM) of the Company on Friday, 23rd July, 2021 at 11:00 a.m. through video conferencing (VC) or other audio-visual means (OAVM) as permitted by the Ministry of Corporate Affairs. Pursuant to Section 108 of the Companies Act, 2013 and Regulation 44 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Company shall provide the facility to vote through electronic means on business to be transacted at the ensuing AGM through VC/OAVM. In this regard, the Company has fixed Friday, 16th July, 2021 as the 'cut-off date' to determine members who shall be entitled to cast their vote by electronic means. The Company would be availing e-Voting services of NSDL. The procedure for participation and e-voting at the AGM will be intimated separately.

In continuation to our letter dated 7th May, 2021 on the captioned matter, we write to inform that the Government of West Bengal vide Order No. 630-ISS/2M-22/2020 dated 7th May, 2021 has imposed additional restriction on operations of Jute Mills as under: 'Operations in Jute Mills shall be restricted to 30% of total strength of each shift.' At this stage, the impact is not ascertainable. The duration of the restriction imposed for the operations in our manufacturing units is uncertain and will depend upon stabilization of the overall scenario and further directives of the Central Government / State Government.

This is to inform that in accordance with the order no. 629-ISS/2M-22/2020 dated 5th May, 2021 issued by the Government of West Bengal to prevent the spread of novel corona virus (COVID 19) outbreak and measures against the current COVID pandemic, the operations in manufacturing units and other offices of the Company have been restricted to 50% of the total strength till further notice. At this stage, the impact of the above force majeure condition is not ascertainable.
