We wish to inform you that the Hon''ble National Company Tribunal ("NCLT"), Mumbai Bench, vide its Order dated 24th January 2025 ("Order"), has sanctioned the Scheme of Amalgamation of Maxbhumi Developers Limited and Sleek International Private Limited (collectively referred as "Transferor Companies"), wholly owned subsidiaries of Asian Paints Limited ("Transferee Company or the Company") with the Company ("Scheme of Amalgamation"). A copy of the Order, as available on the website of the NCLT, is enclosed herewith along with the certified true copy of the Scheme of Amalgamation. The Appointed Date of the Scheme of Amalgamation is 1st April 2024, and it would be effective from the date of filing of the certified copy of the Order by the Transferor Companies and Transferee Company with the Registrar of Companies, Maharashtra at Mumbai.
