Taparia Tools Ltd. - Quarterly/Annual Result Disclosures and Notes dated 31 Dec 2021

1. The above Financial Results have been recommended by the Audit Committee and approved by the Board of Directors at their respective meetings held on February 14, 2022.

2. The Company is exclusively in the hand tools business segment, hence segment reporting is not applicable as per Ind AS-108.

3. As required under Regulation 33 of SEBI (Listing Obligations and Disclosures Requirements) Regulations, 2015, the Limited Review by the Statutory Auditors has been completed for the quarter and nine months ended December 31, 2021, and the Report forwarded to BSE Ltd. The Report does not have any impact on the above results and Notes which needs explanation.

4.The Company had filed an Appeal on 13th August 2019 at Securities Appellate Tribunal (SAT) Mumbai against the Order dated 26th June 2019 received from SEBI confirming the directions issued by SEBI vide Interim Order dated 20th May 2015 related to compliance on Minimum Public Shareholding. All Appeals in this matter were allowed in favour of the Company and Misc. Applications were also disposed off by SAT as per the order dated 9 November, 2021.

5.The Board of Directors at its meeting held on 20 December 2021 declared an Interim Dividend for FY 2021-2022 of Rs. 70/- per Equity Share having face value of Rs. 10/- each. It was paid to those Shareholders whose names appeared in the Register of Members on the Record date i.e. 31-12-2021. The Dividend was paid on 17th January 2022 to those Members entitled thereto.

6.The Board of Directors at its meeting held on 14 February 2022 has declared 2nd Interim Dividend of Rs.50/- per Equity Share having face value of Rs. 10/- each. The record date fixed for the purpose of determining entitlement of the Members for the Interim Dividend is 25th February, 2022 and such Dividend will be paid on or before 16th March, 2022 to those Members entitled thereto.

7. Previous periods' figures have been regrouped wherever necessary to conform to this period's classification.
