Bal Pharma Ltd. - Quarterly/Annual Result Disclosures and Notes dated 31 Mar 2021

1. The above Audited financial results of the Company have been reviewed by Audit Committee and approved by the Board at their meeting held on 29.06.2021.
2.The standalone financial results have been prepared in accordance with the Compnaies ( Indian Accounting Standards) Rules ,2015 prescribed under Section 133 of the Commpanies Act,2013.
3.The Board has recommended a dividend of Re.1 per equity shares of Rs.10.
4. Govt of India on Sept 20,2019 vide taxation laws ( amended ) ordinance ,2019, insterted a new section 115 BAA in the income tax act ,1961 which provides an option to the Commpany for paying income tax at reduced rates as per the provisions / conditions defined inn the seaid section. The Company has evaluated the above ordinance and based on its eveluation the managements proposes to continue with old tax rates.
5.The Company has an outstanding recoverability of Rs.796.49 Cr and Rs.148.27 Cr from its subsidiaries i.e Lifezen Helathcare Pvt ltd and Balance Clinics LLP . The said subsidiaries have incorred losses and have a negative net worth. However the management is considerinng restructuring its subsidiaries so as to recover the outstanidngs.
6. The Company has not recieved any intimation or information with regards to the vendors regitered under MSME . Accordingly , the entire dues to the vendors has been classified as payable to other then MSME's.
7. The Company duirng the year has purchased 979000 equity shares of Lifezen Healthcare Pvt Ltd thereby increasing its stakle to 99.45%
8.The Company has only one reportable segment i.e pharmaceuticles.
9. The figures for the quarter ended 31.03.2021 are the balancing figures betweeen the audited figures for the full financial year and unaudited publisehd year to date figures upto the third quarter of the rrelevant financial year which were subject to limited review by the statutory auditors.
10. Previous year figures have been regrouped /rearranged whereever considered necessary to confirm to the period presentation.
