Pursuant to Regulation 30 of SEBI (Listing Obligation and Disclosure Regulation) Regulation 2015, we wish to inform you that Thirty Third Annual General Meeting (AGM) of the Members of Nucleus Software Exports Limited will be held on Friday, July 08,2022, at 11.00 a.m. through Video Conferencing / Other Audio Visual Means (VC) and cutoff date for the same is July 01st 2022.

Pursuant to Regulation 23(9) of SEBI (Listing Obligations & Disclosure Requirements) Regulations, 2015, please find enclosed the disclosure of related party transactions for the year ended 31st March, 2022.

We wish to inform that the Board of Directors of the Company at their meeting held today i.e., June 14, 2022, had, inter alia, approved the Annual Audited Standalone and Consolidated Financial Results for the year ended March 31, 2022, in accordance with Regulation 33 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

Pursuant to Regulation 23(9) of SEBI (Listing Obligation and Disclosure Requirements) Regulations, 2015, we hereby enclose the disclosure of Related Party Transactions on consolidated basis in the format specified in the relevant Accounting Standards for the half year ended on 31st March, 2022.

We wish to inform that the Board of Directors of the Company at their meeting held today i.e., June 14, 2022, had, inter alia, approved the Annual Audited Standalone and Consolidated Financial Results for the year ended March 31, 2022, in accordance with Regulation 33 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

Enclosed herewith please find the Audited Financial Results (Standalone and Consolidated) in the prescribed format under Regulation 33 of SEBI (LODR) Regulation 2015 along with Auditors Report thereon (Standalone and Consolidated) for the quarter and year ended March 31, 2022. 2 The results have been reviewed by the Audit Committee and approved by the Board of Directors in their meeting held on 14th June, 2022. Auditors have qualified the report, statements of impact of Auditors qualification is being sent separately. 3 Further, Pursuant to Regulation 43 of SEBI (LODR) Regulation 2015, the Board of Directors of the Company has not recommended any dividend for the financial year ended March 31, 2022.
