Salasar Techno Engineering Ltd. - Quarterly/Annual Result Disclosures and Notes dated 31 Dec 2023

1. The above unaudited Standalone Financial Results have been reviewed by the Audit Committee and approved by the Board of Directors at their meetings held on 03-Feb-2024. The statutory auditors of the Company have conducted limited review of these financial results, pursuant to Regulation 33 of SEBI (Listing Obligations and Disclosure Requirements), Regulations 2015.



2. These unaudited standalone financial results are prepared in accordance with the Indian Accounting Standards (IND AS) as prescribed under Section 133 of the Companies Act read with rule 3 of the Companies (Indian Accounting Standards) Rules, 2015 and Companies (Indian Accounting Standards) Amendment Rules , 2016.



3. The Company is engaged in the business of two segments i.e. 1) Manufacturing of Galvanized and Non-galvanized Steel Structures i.e. Steel Structure and 2) Engineering, Procurement and Construction (EPC).



4. The Board of Directors in its meeting held on December 20, 2023 have recommended for approval by shareholders, bonus issue of 4 (four) equity share for every 1 (one) equity shares of Re 1/- each held by shareholders of the Company as on the record date, subject to approval of the shareholders. Pursuant to the approval of the shareholders through postal ballot (including remote evoting), the Company in its Board Meeting held on 03-Feb-2024 has alloted 126,28,21,120 bonus equity shares of Re 1/- each as fully paid-up bonus equity shares, in the proportion of 4 (four) equity share for every 1 (one) equity shares of Re. 1/- each to the equity shareholders of the Company as on record date of Februery 01, 2024.



5. Figures for the previous periods / year have been regrouped, wherever necessary, to confirm to the current period's classification.



6. The unaudited standalone financial results for the quarter and nine months ended 31 December, 2023 are available on the website of the Company (www.salasartechno.com) and on Stock Exchanges website (www.bseindia.com and www.nseindia.com).
