Pursuant to Regulations 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (''Listing Regulations''), we wish to inform you that the Board of Directors of the Company at its meeting held on 19th November has approved and taken note of Appointment of Mr. Vikram Singh Thakur as an Additional Non-Executive Independent Director on the Board of Directors of the company w.e.f November 19, 2020 to hold office for a term upto 5(Five) consecutive years subject to the approval of members in ensuing General Meeting.
This is to inform you that pursuant to Regulation 23(9) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 as amended is not applicable to the company as: The paid up equity share capital does not exceed 10 Crore and Net worth does not exceed Rs. 25 Crore, as on 31.03.2020. As per Regulation 15(2) of the SEBI (Listing Obligation and Disclosure Requirements) Regulations, 2015 the Compliance with the Related Party Transactions provisions -as specified in Regulations 17, [17A], 18, 19, 20, 21, 22, 23, 24, 24A, 25, 26, 27 and clauses (b) to (i) of sub-regulation (2) of Regulation 46 and Para C,D and E of Schedule V shall not apply. As a result, the Company is not required to submit Disclosure of the Related Party Transaction as per Regulation 23(9) of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
Pursuant to Regulations 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ('Listing Regulations'') read with Para A of Part A of Schedule III to the Listing Regulations, we wish to inform that Mr. Rahul Sharma (03258779) has tendered his resignation from the position of Non-Executive Independent Director of the company with effect from November 12, 2020 and was taken on record of the company. Further, the Company has received confirmation from Mr. Rahul Sharma that there are no other material reasons for his resignation other than those which is provided in the resignation letter dated November 12, 2020. The said confirmation received is enclosed herewith.
